TERMS & CONDITIONS
Artificial Intelligence Skills Development Institute (Pty) Ltd — trading as “AISDI™”
Effective Date: 10 July 2025

1. Introduction

1.1 These Terms & Conditions (“Terms”) govern every interaction with AISDI™—including, but not limited to, our websites, learning platforms, mobile apps, communications, and downloadable content (collectively, the “Services”).
1.2 The Services are operated by Artificial Intelligence Skills Development Institute (Pty) Ltd (registration no. 2025/544994/07) (“AISDI™,” “we,” “our,” “us”).
1.3 By accessing or using the Services you accept these Terms as well as the Privacy & Data Protection Policy, Intellectual Property & Content Policy, and Communications & Marketing Policy (together, the “Agreement”). If you disagree, you must not use our Services.

2. Definitions

“Courses” – AISDI™ interactive learning products (text, images, assessments, ALMA™ prompts, downloads).
“Intellectual Property” – all copyrights, patents, trade secrets, trademarks, and other proprietary rights.
“User” / “you” – any individual or entity accessing, registering, or purchasing our Services.

3. Eligibility & Accounts

3.1 You must be (a) at least 18 years old (or legal majority in your jurisdiction) and (b) legally able to enter contracts. Minors require verified parental oversight.
3.2 You remain responsible for safeguarding credentials and all activity under your account.

4. Course Access & Licence

4.1 Upon full payment AISDI™ grants a non-exclusive, non-transferable, revocable licence for personal, educational use of purchased Courses.
4.2 Access duration appears at checkout; content updates do not reset licence periods.

5. Downloadables Licence

Downloadable PDFs, templates, or code snippets are licensed—not sold. One digital copy and one printed copy for personal reference only; redistribution or commercial use is forbidden without written consent.

6. Pricing, Taxes & Payment

6.1 Prices are displayed in the indicated currency and may include/exclude VAT or GST. We may adjust pricing until purchase confirmation.
6.2 You authorise AISDI™ (or processors Stripe and PayPal) to debit your chosen method for the full amount.

7. Refund & Cancellation

7.1 Cooling-off (SA): Under ECTA you may cancel unused digital goods within 7 days.
7.2 AISDI™ offers a 14-day guarantee provided you have completed < 25 % of the Course. Email support@aisdi.ai to request a refund.
7.3 Completed assessments and downloads are non-refundable.

8. Intellectual Property

8.1 All AISDI™ content—including AugmentED™, Synthegogy™, ALMA™, FrameFlux™, Gradient Triad™, ∇⋮™, and derivative tier designations—remains our exclusive property.
8.2 Except for the limited licence in § 4, all rights are reserved. Reverse-engineering, derivative works, or unauthorised distribution is prohibited.
8.3 Certain academic elements of AugmentED™ are available under CC BY-NC 4.0; implementation assets remain proprietary.

9. Acceptable Use

You agree not to:
a) violate laws (POPIA, GDPR, CPA, ECTA);
b) interfere with ALMA™ or Kotobee (e.g., prompt injection, scraping);
c) upload malware or unlawful, discriminatory, or infringing content;
d) harvest data or run unsolicited marketing;
e) use the Services to develop or train competing AI models.

10. AI Disclaimer

Course explanations and personalised feedback rely partly on AI models from OpenAI, Anthropic, and Google (Gemini). We apply robust quality controls but do not warrant absolute accuracy or fitness for purpose. Verify AI-generated output before relying on it.

11. Security & Responsible Disclosure

11.1 Safeguards: TLS 1.2+ encryption, AES-encrypted storage, MFA for administrators, annual penetration testing, role-based access controls, and continuous monitoring.
11.2 Reporting: Found a vulnerability? Email security@aisdi.ai with technical details; we aim to acknowledge within 72 hours. Good-faith reports receive prompt triage and credit where appropriate.
11.3 AISDI™ strives for WCAG 2.1 AA accessibility; accessibility issues can be reported to support@aisdi.ai.

12. Email Disclaimer

Emails (including attachments) are confidential and intended solely for the recipient. Unauthorised use or disclosure is prohibited. While AISDI™ scans outgoing mail, we accept no liability for viruses; recipients should run their own checks. AugmentED™, Synthegogy™, ALMA™ and related marks are trademarks of AISDI™. Full wording appears in the Communications & Marketing Policy.

13. Third-Party Services & Links

External services (Stripe, PayPal, Kotobee) and links are provided “as-is.” AISDI™ is not liable for their content or practices.

14. Suspension & Termination

AISDI™ may suspend or terminate access immediately for Agreement breaches, suspected fraud, infringement, or legal compliance. Termination does not affect accrued rights.

15. Disclaimers & Limitation of Liability

15.1 No warranties—Services are provided “as-is” and “as-available.”
15.2 AISDI™’s total liability shall not exceed amounts you paid in the preceding 12 months for the Service giving rise to the claim.
15.3 We are not liable for indirect, consequential, or punitive damages, or for loss of profits, data, or business.

16. Indemnity

You will indemnify AISDI™, its directors, and employees against claims arising from your misuse of the Services or breach of the Agreement.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. You agree to the exclusive jurisdiction of the High Court of South Africa, Western Cape Division, Cape Town, unless § 18 (Optional Arbitration) is invoked.

18. Optional Arbitration

By mutual written agreement, disputes may be referred to confidential arbitration in Johannesburg under AFSA Commercial Rules; awards are final and enforceable.

19. Force Majeure

AISDI™ is not liable for delay or failure caused by events beyond reasonable control (e.g., natural disasters, war, internet outages).

20. Modifications

Material changes will be announced at least 14 days in advance via email or prominent notice; continued use after that date signifies acceptance.

21. Severability

If a clause is held unenforceable, remaining provisions stay in force.

22. Entire Agreement

These Terms and referenced policies constitute the entire agreement between you and AISDI™ and supersede prior communications.
